Confirmation statement and annual accounts
Every company files a confirmation statement at least once every 12 months, and the annual fee is paid with it:
£50 online or by software and £110 on a paper form CS01. The fee is due with the first
statement in each 12-month payment period. A second statement in the same period is free.
Filing annual accounts carries no fee. The fee regulations treat the annual fee as payment for registering every
document the company delivers in that 12-month period, unless the schedule sets a separate fee for it, and accounts
have none. A community interest company pays £15 for the CIC report that goes with its accounts.
The Registrar of Companies (Fees) (Amendment) Regulations 2025 doubled the digital incorporation fee and raised the
confirmation statement fee. They cut the strike off and restoration fees. The previous fees had applied since 1 May 2024.

Accounts by software only from 1 April 2028
From 1 April 2028 Companies House will only accept accounts filed with commercial software in iXBRL format, so
accounts can no longer be sent on paper by post. Some accounting software can file with HMRC and Companies House at the
same time. If your company already uses software for its Company Tax Return, check whether it can file the accounts too.
Frequently asked questions
How much does it cost to set up a limited company?
The Companies House incorporation fee is £100 online or by software and £124 on paper. Same day incorporation by software costs £156. For the tax side of the decision, see limited company vs sole trader.
How much is the confirmation statement fee?
£50 online or by software and £110 on a paper form CS01. You pay it once a year, with the first confirmation statement you file in each 12-month payment period.
Do I pay again if I file a second confirmation statement in the same year?
No. The annual fee is due only with the first confirmation statement in the 12-month payment period, and you can file as many more as you need in that period without paying again. The next fee is due once a new payment period starts.
Is there a fee to file annual accounts with Companies House?
No. Under the fee regulations the annual fee you pay with the confirmation statement covers every document the company delivers in that 12-month period, unless the schedule gives the document a fee of its own. Annual accounts have no fee of their own. Community interest companies are the exception: the CIC report filed with the accounts costs £15.
How much does it cost to close a company?
Applying to strike off a company voluntarily costs £13 online or £18 on paper. Before 1 February 2026 it cost £33 online.
How much does it cost to restore a struck-off company?
Administrative restoration costs £341, paid by cheque with a paper application (form RT01). You can use it if you were a director or shareholder and the company was trading when the registrar struck it off and dissolved it within the last 6 years. Otherwise you need a court order. The application must include any outstanding accounts and confirmation statements, with any filing fees or penalty payments.
How much is a certified copy or certificate of incorporation?
A certified copy of a document of up to 10 pages costs £22 by post, and so does a certificate of incorporation. The same day service is £65. Searching the Companies House register is free.
When did Companies House fees last go up?
On 1 February 2026. The digital incorporation fee rose from £50 to £100 and the digital confirmation statement fee from £34 to £50. The fees before that had applied since 1 May 2024.
